Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the websites, software, products, and services offered by Arkve Labs (“Arkve Labs,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Services.

2. Accounts

Some Services may require an account. You are responsible for providing accurate information, keeping your credentials secure, and all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Services or related systems or networks.
• Interfere with or disrupt the integrity, security, or performance of the Services.

4. Operational responsibility

5. Fees and payment

Some Services may be offered for a fee. Pricing, billing intervals, and payment terms will be presented to you before purchase. Payments are processed by third-party payment processors, and you authorize us and our processors to charge your selected payment method for applicable fees and taxes. Subscriptions renew automatically unless cancelled before the end of the current billing period.

6. Cancellations and refunds

You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period. Except where required by law or stated otherwise at the time of purchase, fees are non-refundable. If you believe you were charged in error, contact us at hello@arkvelabs.com and we will review your request in good faith.

7. Intellectual property

The Services, including all software, content, trademarks, and logos, are owned by Arkve Labs or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. All rights not expressly granted are reserved.

8. Your content

You retain ownership of data and content you submit to the Services (“Your Content”). You grant us a limited license to host, process, and display Your Content solely as needed to provide and improve the Services. You are responsible for Your Content and represent that you have the rights necessary to submit it.

9. Feedback

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

10. Third-party services

The Services may integrate with or link to third-party products and services. Your use of them is governed by their own terms, and we are not responsible for them.

11. Pre-release features

Products or features labeled as in development, preview, or beta are provided for evaluation, may change or be discontinued at any time, and may not be as reliable as generally available features.

12. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKVE LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).

14. Indemnification

You agree to indemnify and hold harmless Arkve Labs from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, Your Content, or your violation of these Terms or applicable law.

15. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if necessary to protect the Services or others. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

16. Governing law

These Terms are the entire agreement between you and Arkve Labs regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
